By accessing or using the IdRamp, Inc. website at idramp.com (the “Site”), you agree to be bound by these Website Terms of Use (“Terms”). If you do not agree, please do not use the Site.

These Terms apply to all visitors and users of the Site. They govern your use of this Site only. Nothing in these Terms constitutes an offer, commitment, or representation regarding any product, service, or platform capability. Use of the IdRamp identity orchestration platform by enterprise customers is governed exclusively by a separate written agreement between IdRamp and that customer.

2. Changes to These Terms

IdRamp reserves the right to update or modify these Terms at any time. Changes become effective upon posting to the Site, with the effective date revised accordingly. Your continued use of the Site following any update constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. Permitted Use of the Site

You may use the Site for lawful purposes only. You agree not to use the Site:

  • In any way that violates applicable local, national, or international law or regulation
  • To transmit unsolicited or unauthorized advertising, promotional material, or spam
  • To impersonate IdRamp, any IdRamp employee, partner, or any other person or entity
  • To engage in conduct that restricts or inhibits any other person’s use or enjoyment of the Site
  • To attempt to gain unauthorized access to any part of the Site or its underlying systems or infrastructure
  • To introduce viruses, malware, ransomware, or other harmful or disruptive code or content
  • To scrape, harvest, or systematically collect data or content from the Site by automated means without our prior written consent
  • To use the Site in any manner that could damage, overburden, or impair its operation

IdRamp reserves the right to restrict or terminate access to the Site, at its sole discretion, for any user who violates these Terms or uses the Site in a manner deemed harmful or inappropriate.

4. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, icons, images, data, and software — is the property of IdRamp, Inc. or its licensors and is protected under applicable copyright, trademark, and intellectual property laws. The IdRamp name, logo, and all related product and service names are trademarks of IdRamp, Inc. All rights are reserved.

Nothing on the Site grants you any license or right to use any trademark, logo, or proprietary content of IdRamp without prior written permission. Unauthorized reproduction, distribution, or use of any IdRamp intellectual property is strictly prohibited.

You may view, download, and print content from the Site solely for your own personal, non-commercial informational use, provided you do not modify the content and you preserve all copyright and proprietary notices.

5. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS AVAILABLE ON OR THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IDRAMP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IdRamp does not warrant that the Site will be available, uninterrupted, timely, secure, or error-free, or that any defects will be corrected. IdRamp does not warrant the accuracy, completeness, currency, or reliability of any content on the Site. Any reliance you place on such content is entirely at your own risk.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDRAMP, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT — INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION — EVEN IF IDRAMP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the fullest extent permitted by law, IdRamp’s total aggregate liability to you for any claim arising from or related to your use of this Site shall not exceed one hundred U.S. dollars ($100.00). Some jurisdictions do not permit the exclusion or limitation of liability for incidental or consequential damages; in such jurisdictions, IdRamp’s liability shall be limited to the maximum extent permitted by applicable law.

The Site may contain links to third-party websites or embed third-party content. These links are provided for convenience only and do not constitute an endorsement or recommendation by IdRamp. IdRamp has no control over and assumes no responsibility for the content, accuracy, privacy practices, or terms of any third-party website or service. Your access to and use of any linked site is at your own risk. We encourage you to review the applicable terms and privacy policies before interacting with any third-party site.

8. IdRamp Platform — General Terms

IdRamp provides an identity verification (IDV) orchestration platform for enterprise customers. The platform enables organizations to coordinate identity verification workflows across enterprise systems — including native integrations with Microsoft Entra, Okta, Workday, ServiceNow, SailPoint, Salesforce, and Ping Identity — without processing, storing, or accessing the personally identifiable information of end users. IdRamp is a SOC 2 Type 2 certified company and a Microsoft Security Elite Partner with an Entra Verified ID specialization.

The following statements describe the general principles under which the IdRamp platform operates. They are provided for informational purposes only and do not constitute an offer, service commitment, warranty, or contractual obligation of any kind. All binding terms governing enterprise access to and use of the IdRamp platform are contained exclusively in the applicable written agreement between IdRamp and that customer.

8.1  Zero PII Architecture

The IdRamp platform is architected to orchestrate identity verification workflows without processing, storing, or accessing the personally identifiable information (PII) of the individuals being verified. Verified identity results are written directly into the customer’s own enterprise identity directory (such as Microsoft Entra ID or Okta). IdRamp functions as an orchestration layer and does not act as a data custodian or data controller for end-user personal data. 8.2  Customer Data Ownership

Verified identity results and credentials produced through IdRamp’s orchestration workflows belong to and remain within the customer’s own identity infrastructure. IdRamp does not claim any ownership over customer data, verified credentials, or identity records generated through use of the platform. Customers retain full responsibility for the governance, access control, and management of their own identity directories and all downstream systems that inherit verified identity data.

8.3  Acceptable Use

Access to and use of the IdRamp platform is authorized solely for lawful purposes and must be consistent with the customer’s applicable written agreement with IdRamp. Without limiting the foregoing, the following uses are expressly prohibited: circumventing or attempting to circumvent platform security controls or authentication mechanisms; using the platform to facilitate fraud, identity theft, impersonation, or unauthorized system access; reverse engineering, decompiling, disassembling, or otherwise attempting to derive source code or trade secrets from any platform component; reselling, sublicensing, or otherwise making platform access available to unauthorized third parties; and any use that violates applicable federal, state, or international law or regulation.

8.4  Intellectual Property

The IdRamp platform — including all underlying software, orchestration workflows, pre-built connectors, APIs, and related technology — is the proprietary intellectual property of IdRamp, Inc. and is protected by applicable copyright, patent, trade secret, and other intellectual property laws. No right, title, license, or interest in the platform or any of its components is transferred to any customer or user merely by virtue of access or use. Customers and users may not reverse engineer, decompile, copy, modify, adapt, translate, or create derivative works based on any part of the platform without the express prior written consent of IdRamp.

8.5  No Warranties or Service Level Commitments

IdRamp makes no warranties, express or implied, regarding the platform’s availability, uptime, performance, security, fitness for a particular purpose, or suitability for any specific regulatory or compliance requirement. Although IdRamp has achieved SOC 2 Type 2 certification and maintains rigorous security practices, no certification or security standard referenced on this Site creates or implies any specific performance guarantee or liability to any party. No service level commitments, uptime guarantees, response time obligations, or support terms are established by these Terms or by any content published on this Site. Any such commitments, where applicable, exist solely within a customer’s fully executed written agreement with IdRamp.

9. Privacy

Your use of the Site is also governed by IdRamp’s Privacy Policy, available at idramp.com/privacy-policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect information gathered through this Site, and also explains the distinction between website data collection and the zero-PII architecture of the IdRamp platform. Please review it carefully.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Iowa, United States of America, without giving effect to any conflict of law principles that would require application of the laws of another jurisdiction. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive personal jurisdiction of the state and federal courts located in the State of Iowa, and each party irrevocably consents to such jurisdiction and waives any objection to venue in those courts.

Nothing in this section limits IdRamp’s right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

11. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, invalid, void, or unenforceable, that provision shall be deemed severed from the remaining Terms and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

12. No Waiver

IdRamp’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any provision in one instance shall not be deemed a continuing waiver or a waiver in any other instance

13. Entire Agreement

These Terms, together with the IdRamp Privacy Policy, constitute the entire agreement between you and IdRamp with respect to your use of the Site. They supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral, relating to the same subject matter. Enterprise customers with executed platform agreements should note that those agreements govern all matters relating to platform access and use, and prevail over these Terms in the event of any conflict
